Welcome to Acento. These Terms of Service ("Terms") govern your access to and use of byacento.com, our products, and any related services (collectively, the "Services") operated by Acento Wellness LLC ("Acento," "we," "us," or "our").

By accessing or using the Services, creating an account, or placing an order, you agree to be bound by these Terms, our Privacy Policy, and our Return and Refund Policy. If you do not agree, do not use the Services.

PLEASE READ SECTION 14 (DISPUTE RESOLUTION AND BINDING ARBITRATION) CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES WITH ACENTO THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.


1. Eligibility

You must be at least 18 years old to use the Services or place an order. By using the Services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into a binding contract
  • You are not prohibited from using the Services under any applicable law
  • The information you provide is accurate, current, and complete

We reserve the right to refuse service, terminate accounts, cancel orders, or limit purchases at our sole discretion.


2. Accounts

You may be required to create an account to access certain features, including managing subscriptions. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Promptly notifying us at support@byacento.com of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to safeguard your account credentials. We reserve the right to suspend or terminate accounts at our sole discretion, including for violations of these Terms, suspected fraud, or abuse of our policies.


3. Products and Pricing

Product information. We strive to display accurate product descriptions, ingredients, images, and pricing. However, we do not warrant that product descriptions, images, or other content on the Services are error-free, complete, current, or accurate. Colors, packaging, and product appearance may vary slightly from what is shown.

Pricing. All prices are listed in U.S. dollars. We reserve the right to change prices at any time without notice. The price applicable to your order is the price displayed at the time you place the order. If a product is mistakenly listed at an incorrect price, we reserve the right to refuse or cancel orders placed for that product, even after order confirmation.

Availability. Products are subject to availability. We reserve the right to limit quantities, discontinue products, or modify product formulations at any time without notice.

No medical advice. Acento products are dietary supplements. They are not drugs, and they are not intended to diagnose, treat, cure, or prevent any disease. Information on the Services is for general informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider before starting any new supplement, especially if you are pregnant, nursing, taking medications, or have a medical condition.


4. Health, Wellness, and Marketing Disclaimers

FDA Disclosure. Statements regarding Acento products have not been evaluated by the U.S. Food and Drug Administration. Our products are not intended to diagnose, treat, cure, or prevent any disease.

Individual Results Vary. Any results, benefits, or experiences described on the Services, in advertising, on social media, in customer testimonials, or in any other communication are individual experiences and are not typical. We make no representation, warranty, or guarantee that you will achieve any specific result, outcome, or benefit from using Acento products. Individual results vary based on biology, lifestyle, diet, consistency of use, and other factors outside our control.

Forward-Looking Statements. Any descriptions of expected benefits, ingredient effects, or wellness outcomes are forward-looking and reflect general scientific understanding of the listed ingredients, not guaranteed outcomes. These are not medical claims.

Testimonials and Reviews. Customer testimonials, reviews, and endorsements reflect the individual experience of the person providing them. They do not represent typical results and are not a substitute for professional medical advice. Some testimonials may be from individuals who received free or discounted products in exchange for honest feedback, which will be disclosed where applicable.

No Diagnosis or Prescription. Acento does not employ healthcare providers, does not diagnose conditions, does not prescribe treatment, and does not provide medical advice. If you are experiencing symptoms of any medical condition, consult a licensed healthcare provider before using our products.

Allergens and Adverse Reactions. Review all product labels, ingredients, and warnings before use. If you experience any adverse reaction, discontinue use immediately and consult a healthcare provider. Acento is not liable for adverse reactions where you have failed to review the product label or have used the product contrary to its directions.


5. Orders, Payment, and Subscriptions

Order acceptance. Your order constitutes an offer to purchase. We reserve the right to accept, refuse, or cancel any order for any reason, including suspected fraud, payment issues, product unavailability, or violation of these Terms. An order is not accepted until we send you an order confirmation email.

Payment. You authorize us to charge your payment method for the total order amount, including applicable taxes and shipping. You represent that you are authorized to use the payment method you provide.

Subscriptions. Acento offers subscription products ("Subscribe & Save"). By placing a subscription order, you authorize us to automatically charge your payment method on the recurring billing schedule selected at checkout (currently every 30 days). Subscriptions automatically renew until canceled.

You may cancel your subscription at any time after your first order has shipped through your customer account portal at byacento.com or by emailing support@byacento.com. Full subscription terms, including cancellation procedures, are governed by our Return and Refund Policy, which is incorporated into these Terms by reference.

State Auto-Renewal Disclosures. In accordance with applicable state laws, including California Business and Professions Code §17602 and similar statutes, you expressly agree to the auto-renewal terms by submitting your initial subscription order. Where required by law, we will provide notice before each renewal.

Taxes. You are responsible for all applicable sales, use, and other taxes associated with your purchase. We will collect and remit taxes where required by law.


6. Shipping and Delivery

Shipping terms, delivery timelines, and risk of loss are governed by our Shipping Policy, which is incorporated into these Terms by reference. Risk of loss for products passes to you upon delivery to the carrier.

We are not responsible for shipping delays caused by circumstances outside our control, including but not limited to weather, carrier delays, customs, or force majeure events.


7. Returns and Refunds

Returns and refunds are governed by our Return and Refund Policy, which is incorporated into these Terms by reference. By placing an order, you acknowledge and agree to the terms of that policy in full.


8. User Conduct

You agree not to use the Services to:

  • Violate any applicable law or regulation
  • Infringe on the intellectual property, privacy, or other rights of any party
  • Submit false, misleading, or fraudulent information
  • Engage in fraudulent purchases, chargeback abuse, or refund abuse
  • Distribute viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to our systems or accounts
  • Scrape, crawl, or harvest data from the Services
  • Interfere with or disrupt the Services or servers
  • Use the Services to transmit unsolicited communications
  • Resell our products without prior written authorization

We reserve the right to investigate, refuse service, terminate accounts, cancel orders, and pursue legal remedies for any conduct we determine, in our sole discretion, violates these Terms.


9. Intellectual Property

All content on the Services, including but not limited to text, graphics, logos, images, product designs, formulations, brand names ("Acento," "the 3 a.m.," "Her Prime," "My Crown"), trademarks, packaging, and software, is the exclusive property of Acento or its licensors and is protected by U.S. and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes. You may not:

  • Reproduce, distribute, modify, or create derivative works of any content
  • Use any Acento trademark, logo, or brand element without prior written permission
  • Use our content for commercial purposes, including in advertising, content marketing, or affiliate promotion without our written authorization

All rights not expressly granted are reserved.


10. User-Generated Content

If you submit reviews, testimonials, photos, comments, or other content to the Services or to our social media accounts ("User Content"), you grant Acento a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, publish, display, and create derivative works from your User Content for any purpose, including marketing, advertising, and product development.

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate any third party's rights
  • Your User Content is accurate and not misleading
  • You are at least 18 years old

We reserve the right to remove any User Content at our sole discretion without notice.


11. Third-Party Links and Services

The Services may contain links to third-party websites, platforms, or services. We do not endorse, control, or assume responsibility for any third-party content, products, or services. Your interactions with third parties are solely between you and the third party.


12. Disclaimers and Limitation of Liability

THE SERVICES AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ACENTO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, ACENTO MAKES NO REPRESENTATION OR WARRANTY THAT:

  • THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • THE SERVICES OR PRODUCTS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
  • ANY DEFECTS WILL BE CORRECTED
  • THE PRODUCTS WILL PRODUCE ANY SPECIFIC HEALTH OUTCOME OR BENEFIT

LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ACENTO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR PERSONAL INJURY ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS, EVEN IF ACENTO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ACENTO'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS, THE SERVICES, OR ANY PRODUCT SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO ACENTO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.


13. Indemnification

You agree to defend, indemnify, and hold harmless Acento, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, or debts, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Services
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your User Content caused damage to a third party
  • Your violation of any applicable law or regulation

This indemnification obligation will survive termination of these Terms and your use of the Services.


14. Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution. Before filing a claim, you agree to attempt to resolve the dispute informally by contacting us at support@byacento.com. We will attempt in good faith to resolve any dispute within 60 days of your written notice.

Binding Arbitration. If we cannot resolve the dispute informally, you and Acento agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any product (a "Dispute") shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in Sheridan, Wyoming, or via videoconference at the arbitrator's discretion. The arbitrator's decision will be final and binding.

Class Action Waiver. YOU AND ACENTO AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Exceptions. Either party may bring an individual action in small claims court for disputes within that court's jurisdiction. Either party may seek injunctive relief in court for claims relating to intellectual property infringement, unauthorized access to the Services, or violations of confidentiality obligations.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to support@byacento.com within 30 days of first agreeing to these Terms. Your notice must include your name, address, email, and a clear statement that you wish to opt out of arbitration.

Severability. If the class action waiver is found unenforceable, the entire arbitration agreement will be null and void, but the remaining Terms will remain in effect.


15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Subject to Section 14 (arbitration), any legal action permitted to be brought in court must be filed in the state or federal courts located in Sheridan County, Wyoming, and you consent to the exclusive jurisdiction and venue of such courts.


16. Termination

We reserve the right to suspend or terminate your access to the Services, cancel orders, or close your account at our sole discretion, with or without notice, for any reason, including but not limited to violation of these Terms.

Upon termination:

  • Your right to use the Services ends immediately
  • Sections 4, 9, 10, 12, 13, 14, 15, and 17 of these Terms will survive
  • Any active subscriptions will be canceled, and any pending refunds will be processed in accordance with our Return and Refund Policy

17. Modifications to Terms

We reserve the right to modify these Terms at any time. The "Effective Date" at the top of these Terms reflects the most recent revision. Material changes will be communicated by:

  • Posting updated Terms on byacento.com
  • Sending an email to active subscribers (where applicable)
  • Providing 30 days' advance notice for material changes affecting your rights

Your continued use of the Services after the Effective Date of any revised Terms constitutes your acceptance of those revised Terms. If you do not agree to the revised Terms, you must stop using the Services.


18. Notices

Notices to You. We may provide notices to you by email to the address associated with your account, by posting on the Services, or by other reasonable means. You agree that electronic notice satisfies any legal requirement that notice be in writing.

19. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy, Return and Refund Policy, and Shipping Policy, constitute the entire agreement between you and Acento regarding the Services.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.

Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms at any time without notice.

Force Majeure. We are not liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
